Terms of Service

These Terms of Service ("Terms") govern your access to and use of the JeriCommerce loyalty platform, website, and related services (collectively, the "Service"), operated by Leuqim OÜ (registry code 17195491), trading as JeriCommerce, with registered address at Männimäe/1, 74626 Kuusalu vald, Harju maakond, Estonia ("we", "us", "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
JeriCommerce is an omnichannel loyalty platform for Shopify merchants. The Service enables merchants to create and manage loyalty programs, issue digital wallet passes (Apple Wallet and Google Wallet), send push notifications, and integrate with Shopify POS, Klaviyo, Shopify Flow, and other third-party services.
2. Eligibility
The Service is available to businesses and individuals who are at least 18 years old and have a valid Shopify store. By using the Service, you represent that you have the authority to bind the entity on whose behalf you are accessing the Service.
3. Account & Registration
- You must install JeriCommerce from the Shopify App Store to create an account.
- You are responsible for maintaining the security of your account credentials.
- You must provide accurate and complete information and keep it up to date.
- You are responsible for all activity that occurs under your account.
4. Subscription Plans & Billing
- JeriCommerce offers Free, Growth, Advanced, and Enterprise plans. Plan details and pricing are listed on our pricing page.
- All payments are processed through Shopify's billing system. By subscribing to a paid plan, you authorize Shopify to charge the applicable fees.
- Paid plans (Growth, Advanced) are billed monthly unless annual billing is agreed. Enterprise plans are billed annually.
- You may upgrade your plan at any time. Downgrades take effect at the end of the current billing cycle; contact us to request a plan change.
- All fees are non-refundable and non-cancellable once charged, except as required by applicable law.
- If you exceed your plan's card or order limits, overage fees will apply as described on the pricing page.
- All fees are in EUR and exclusive of applicable taxes (VAT).
5. Free Plan
The Free plan provides limited access to the Service at no cost. We reserve the right to modify Free plan limits at any time with 30 days' notice. The Free plan is provided "as is" without uptime guarantees or dedicated support.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Send unsolicited push notifications or communications that violate anti-spam regulations.
- Attempt to gain unauthorized access to the Service or its infrastructure.
- Reverse engineer, decompile, or disassemble the Service.
- Use the Service to store or transmit malicious code.
- Resell, sublicense, or redistribute the Service without written consent.
- Interfere with the Service's performance or other users' access.
7. Merchant Responsibilities
- You are responsible for your loyalty program's compliance with applicable consumer protection laws, including clear communication of earning rules, reward terms, and expiration policies to your customers.
- You are the data controller for your customers' personal data processed through JeriCommerce. You must have a lawful basis for sharing customer data with us and must maintain an appropriate privacy policy.
- You are responsible for the content of push notifications sent through the Service.
8. Data Processing
When we process personal data on your behalf, we act as a data processor under GDPR Art. 28. Our processing activities are governed by our Privacy Policy and, where applicable, a separate Data Processing Agreement (DPA). Merchants may request a DPA by emailing hello@jericommerce.com.
9. Intellectual Property
- The Service, including its software, design, trademarks, and documentation, is owned by Leuqim OÜ and protected by intellectual property laws.
- We grant you a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription.
- You retain ownership of your content (brand assets, loyalty program configuration, customer data). By using the Service, you grant us a license to process your content as necessary to provide the Service.
- We may collect and use anonymized, aggregated data derived from your use of the Service for analytics, benchmarking, and service improvement. Such data will not identify you or your customers.
- Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without restriction or compensation.
10. Third-Party Integrations
The Service integrates with third-party platforms including Shopify, Apple, Google, and Klaviyo. Your use of these integrations is subject to the respective third party's terms. We are not responsible for third-party services, their availability, or changes to their APIs that may affect the Service.
11. Service Availability & SLA
For paid plans, we target 99.9% monthly uptime for the core JeriCommerce platform, excluding scheduled maintenance and third-party outages (Shopify, Apple, Google). We will notify merchants of scheduled maintenance at least 24 hours in advance. The Free plan is provided without uptime commitments.
12. Warranty Disclaimer
Except as expressly set out in these Terms, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected.
13. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claim arising from the Service shall not exceed the fees you paid in the 12 months preceding the claim.
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data.
- We are not liable for any loss arising from your loyalty program's design, reward structure, or customer communications.
14. Indemnification
You agree to indemnify and hold us harmless from claims, damages, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your loyalty program's non-compliance with applicable laws; (d) your failure to comply with data protection obligations as data controller; or (e) any dispute between you and your end customers related to the loyalty program.
15. Force Majeure
Neither party shall be liable for any failure or delay in performance arising from causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power or internet failures, or third-party service disruptions. The affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact.
16. AI-Generated Content
Certain features of the Service may use artificial intelligence or machine learning to generate suggestions, content, or recommendations. Such AI-generated outputs are provided for informational purposes only and without guarantees of accuracy, completeness, or suitability. You are solely responsible for reviewing and approving any AI-generated content before using it in your loyalty program.
17. Termination
- You may cancel your subscription at any time through Shopify's billing system.
- We may suspend your account immediately and without prior notice if we reasonably believe you are in breach of these Terms, engaging in fraudulent activity, or causing harm to the Service or other users. We may terminate your account for breach with 7 days' written notice.
- Upon termination, your access to the Service ceases. We will retain your data for 30 days to allow export, after which it will be deleted.
- Sections on intellectual property, limitation of liability, indemnification, and governing law survive termination.
18. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
19. Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of Estonia. Any disputes arising from or relating to these Terms shall be resolved in the courts of Harju County, Estonia. This does not affect your rights under mandatory consumer protection laws of your country of residence.
